Structure (15 questions, 5 categories)
Each question scored 0–4 (Never / Sometimes / Mostly / Fully).
A. Financial Readiness
Our financials are clean and easy to understand (little-to-no personal expense mixing).
We know our true EBITDA and common add-backs. (See our EBITDA for Veterinarian Section)
Revenue and margins have been stable or improving.
We can produce 3 years of P&Ls quickly.
B. Owner Dependence
The practice would continue running smoothly if I stepped away for 30–60 days.
Clinical production is spread across multiple doctors.
Key vendor, referral, and staff relationships don’t depend solely on me.
C. People & Staffing
Associate contracts are current and assignable.
Staff turnover is low and compensation is market-aligned.
There is a clear medical or operational leader beyond the owner.
D. Facility & Structure
Lease terms or real estate ownership are clean and transferable.
Major equipment is maintained and documented.
No unresolved compliance or regulatory issues (DEA, state board, etc.).
E. Personal Readiness
I have a rough idea of my desired timeline (even if flexible).
I understand there are multiple exit paths—not just one outcome.
